Exhibit A

The Fifth Amendment

/ðə fɪfθ əˈmɛndmənt/ noun

  1. In law. The part of the United States Constitution that says nobody can be forced to be a witness against themselves. That’s why, in courtroom dramas, someone under pressure says “I plead the fifth”: they’re using their right to stay silent.
  2. In Brisbane. An artisanal bakery whose cookies are worth that silence. When someone asks who took the last one, you don’t confess. You plead the fifth.

Warning: Don’t leave the crumbs on your shirt.

Our story

plead the fifth (phrase): to refuse to answer a question that might get you in trouble, a right protected by the Fifth Amendment to the US Constitution. Also: the only sensible reply when someone asks who ate the last cookie.
Rythm Gupta

It started with a stolen cookie and a standoff. We were sitting around my friend’s living room in Brisbane, half-watching Harvey Specter tear an opposing counsel apart on an episode of Suits. The host walked in, stared at the empty plate on the table, and demanded to know who took the last cookie. Nobody moved. The silence was heavy. Looking at the screen, the only legal defense that made sense flashed into my head: Plead the fifth. Do not incriminate yourself. That was the exact moment The Fifth Amendment was born. It is a brand built on the fundamental truth that when a bake is truly that good, you take the last piece and you absolutely do not apologize for it.

But a sharp name means nothing without the execution to back it up. The real fire for this craft didn’t come from a television show; it is in the blood. I grew up watching my mother command the kitchen. She has been baking for twenty years, operating as an uncompromising professional for more than a decade. There were no shortcuts in her house, no skipped steps, and no accepted failures. You respected the ingredients, and you executed the technique. Just by standing beside her, absorbing that relentless discipline and the exact science of her process, the obsession took hold of me. I didn’t just learn how to fold dough; I learned the standard required to make something unforgettable.

Today, The Fifth Amendment takes that generational discipline and applies it to a modern, heavy-hitting flavor lineup. We don’t do basic, and we don’t do average. We bake unapologetic, premium profiles designed for people who know exactly what they want.

Help

Answers to the questions we hear most.

What does “plead the fifth” mean?

The Fifth Amendment to the United States Constitution says nobody can be forced to be a witness against themselves. “Pleading the fifth” means using that right to stay silent, a line made famous by courtroom dramas like Suits. For us it means one thing: when a cookie is this good, you take the last one and say nothing.

Someone took the last cookie. What now?

They should plead the fifth. That’s exactly how we began: a missing last cookie, a silent room and an episode of Suits. Read our story, then order enough that nobody has to fight over the last one.

Where is The Fifth Amendment based?

We are an artisanal, made-to-order bakery in Brisbane, Queensland, Australia. Every order is baked fresh for that week and delivered to you.

How does ordering work?

Choose your flavours on the Order page, pick a delivery day and place your preorder through the website with a 10% deposit. We’ll confirm your date and the balance with you at launch.

Can I order now?

Preorders are open now. Place your preorder on the website with a 10% deposit. We’ll be in touch at launch to confirm your delivery or pick-up date and the balance. Once we’re open, orders will run Monday to Wednesday each week.

When do you deliver?

Delivery dates for preorders will be announced at launch. After that, we’ll deliver on Friday and Saturday within 40 km of Heathwood: $10 up to 10 km, $15 up to 20 km, $20 up to 30 km and $30 up to 40 km. Delivery within 30 km is complimentary on orders of $150 or more. You can also collect your order from our Heathwood kitchen for free. Further away? Contact us and we’ll see what we can do.

How do points work?

Sign in when you order and you earn 1 point for every $10 you spend. Each point is worth $1. Once you have 10 points, you can use them to take $10 off an order, right at checkout. Points are added once your order is completed, and your balance shows in your account.

What are the weekly specials?

Every week we bake one limited cookie, one cake and one bread that are only available that week. When the week ends, they’re gone for good. We never repeat a special.

Do you have gluten-free, nut-free or sugar-free cookies?

Yes. Most of what we bake can be made gluten-free, nut-free, lactose-free, sugar-free or high-protein. Nut-free isn’t available on items made with nuts. Choose your options for each piece when you order, and tell us about any allergy in your order notes.

Can I send cookies as a gift?

Yes. Tick “This order is a gift” at checkout, add the recipient’s details and we deliver to them. You can add a handwritten note card for a small extra charge.

Do you take corporate and event orders?

Yes. We bake for offices, client gifts and events. Send us an enquiry with roughly how much you need and when.

Can I get my deposit back?

No. The 10% deposit secures your preorder and is non-refundable, except where Australian Consumer Law requires a refund. Your deposit counts towards your order total, and we’ll confirm the balance with you at launch.

How do I pay?

Preorders are confirmed with a 10% deposit, paid by card through our secure checkout when you place your preorder. Apple Pay and Google Pay work where your device supports them. We’ll arrange the balance and any delivery fee with you at launch.

2. Preorders before launch

We are preparing to open. Until we launch, this website takes preorders only. Delivery and pick-up dates for preorders are to be announced, and we will confirm your date with you before anything is baked. We will not bake or supply any order until we are open and able to trade.

3. Deposits

  • A preorder is confirmed once you pay a deposit of 10% of your order’s estimated total by card through our secure checkout.
  • Your deposit is counted towards your order total. The balance and any delivery fee are payable before your order is baked, on the date we confirm with you.
  • Your deposit is non-refundable if you change your mind or cancel your preorder.
  • We will refund your deposit in full if we cancel your preorder, if we are unable to supply your order, if the final price we confirm for your preorder is higher than the estimate shown when you placed it and you choose to cancel, or where the Australian Consumer Law otherwise requires a refund.

4. Prices and payment

  • All prices are in Australian dollars and include GST where it applies.
  • Prices, products and options shown on the website may change at any time, but a change will not affect an order we have already confirmed, except as set out in section 3.
  • Card payments are processed by Stripe. We never see or store your full card number.
  • If a price is shown in error, we will contact you before baking, and you may choose to go ahead at the correct price or cancel for a full refund.

5. Placing an order

  • Every item is baked to order. Once we open, orders are placed between Monday and Wednesday each week for delivery or pick-up that same week, unless we tell you otherwise.
  • Your order is an offer to buy. A contract is formed when we confirm your order and your payment (or deposit) has been received.
  • We may decline an order, for example if it is outside our delivery area, beyond our baking capacity or contains errors. If we decline an order, we will refund anything you have paid for it.
  • You are responsible for making sure your name, contact details, address and order details are correct.

6. Our products

  • Everything we bake is handmade, so size, shape, colour and decoration can vary from the photos on our website and Instagram. Photos are for illustration.
  • Weekly specials are available only in the week they are offered, in limited quantities and while they last.
  • Dietary options (gluten-free, nut-free, lactose-free, sugar-free and protein) and formats (cookie cup and cookie tin) are charged per piece as shown at checkout. Please read our Allergen & Dietary Information before choosing them.
  • Our products are perishable. Please follow the storage guidance we give you and enjoy them while fresh.

7. Allergies

Our kitchen handles common allergens, and we cannot guarantee that any product is free from traces of them. You must tell us about any allergy or intolerance in your order notes before you order, and read our Allergen & Dietary Information. If you are ordering for someone else, including as a gift, you are responsible for checking their allergies.

8. Delivery, pick-up and gifts

Delivery areas, fees, days and pick-up arrangements are set out in our Delivery & Pick-up Policy. If you send an order as a gift, you confirm that you are allowed to give us the recipient’s name, phone number and address, and we will use them only to deliver the gift.

9. Changes, cancellations and problems

How to change or cancel an order, and what to do if something is wrong with it, is set out in our Refunds & Cancellations Policy.

10. Your account

  • You can order as a guest or create an account. If you create an account, please keep your password private. You are responsible for activity on your account.
  • Please keep your details up to date. You can edit them in your account at any time.
  • We may suspend or close an account that is used fraudulently, abusively or against these terms.

11. Points and offers

12. Reviews and content you send us

  • Reviews, photos and messages you send us must be honest, your own and not offensive or unlawful.

Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded.

15. Our liability

To the extent permitted by law, and apart from the guarantees described in section 14, we are not liable for any indirect or consequential loss arising from your use of this website or our products. Refunds & Cancellations

Last updated 29 October 2026

Everything we bake is made to order and perishable, so we can’t offer refunds for a change of mind once baking has begun. If something is wrong with your order, we’ll make it right.

Preorder deposits

  • The 10% deposit that confirms your preorder is non-refundable if you change your mind or cancel.
  • We will refund your deposit in full if we cancel your preorder, if we can’t supply your order, if the final price we confirm is higher than the estimate you saw when you preordered and you choose to cancel, or where the Australian Consumer Law requires a refund.

Changing your order

Once we’re open, you can ask to change your order (flavours, quantities, options, delivery or pick-up) until the weekly order cut-off on Wednesday. Contact us as soon as possible. We’ll do our best, but we can’t guarantee changes after the cut-off because baking may have started. For preorders, you can ask for changes at any time before we confirm your date.

Cancelling your order

  • Before the Wednesday cut-off: we’ll refund what you’ve paid, less any non-refundable deposit.
  • After the cut-off: your order has been scheduled for baking, so it can’t be cancelled or refunded.
  • If we have to cancel your order for any reason, we’ll refund everything you’ve paid for it, including your deposit and any delivery fee.

If something is wrong

If your order arrives damaged, is incorrect or incomplete, or isn’t of acceptable quality, please contact us within 24 hours of delivery or pick-up, with your order details and photos if you can. Please keep the products and packaging until we’ve sorted it out. Depending on the problem, we’ll replace the items, refund them, or offer a credit if you’d prefer. This doesn’t limit your rights under the Australian Consumer Law.

What isn’t covered

We can’t offer a refund or replacement for a change of mind, for products that have been stored incorrectly after delivery, for natural variations in handmade products, or where an order couldn’t be delivered because the address or contact details given were incorrect or nobody was available, as described in our Delivery & Pick-up Policy.

How refunds are paid

  • Refunds go back to the card or payment method you used, through Stripe. They usually appear within 5 to 10 business days, depending on your bank.
  • If you used loyalty points on a cancelled order, the points are returned to your account. Points earned on an order that is later refunded are removed.

Delivery & Pick-up

Last updated 29 October 2026

We deliver across Brisbane and surrounds from our kitchen in Heathwood, or you can collect your order for free.

When we deliver

Delivery and pick-up dates for preorders will be announced at launch, and we will confirm your date with you before anything is baked. Once we’re open, orders are placed Monday to Wednesday, and we deliver on Friday and Saturday of the same week.

Where we deliver and what it costs

Delivery fees are based on the approximate driving distance from our Heathwood kitchen to your delivery suburb:

DistanceDelivery fee
Up to 10 km$10
10 to 20 km$15
20 to 30 km$20
30 to 40 km$30
  • Delivery within 30 km is complimentary when your items total $150 or more.
  • Further than 40 km? Contact us before you order and we’ll see what we can do.
  • Your delivery fee is shown at checkout and confirmed with your order.

Receiving your order

  • We will let you know your delivery window before the day. Please make sure someone is available to receive the order, as our products are fresh and perishable.
  • If nobody is available, we will try to contact you. If you have asked us to leave your order in a safe place, it is your responsibility once delivered.
  • If we can’t deliver because the address or contact details are incorrect or nobody is available, we will hold your order for collection from our Heathwood kitchen that day. Redelivery, if possible, may cost an extra delivery fee.

Gift deliveries

Tick “This order is a gift” at checkout and we’ll deliver to the person you’re gifting, with a handwritten note card if you add one. Please check the recipient’s address, number and availability, and any allergies, before you order.

Pick-up

  • Pick-up from our Heathwood kitchen is free.
  • We will send you the pick-up address and a time window when we confirm your order.
  • Orders not collected by the end of the pick-up window will be held until the end of that day. Because our products are perishable, uncollected orders can’t be refunded.

Delays

Occasionally weather, traffic or events beyond our control can delay a delivery. If that happens, we’ll let you know as soon as we can and arrange a new time with you.

Questions

Reach us through our contact page or on Instagram at @the.fifthamendment.

Allergen & Dietary Information

Last updated 29 October 2026

Please read this before you order, especially if you or the person you’re ordering for has an allergy or intolerance.

Our kitchen

We bake everything in one kitchen that handles common allergens, including wheat (gluten), milk, egg, tree nuts, peanuts, sesame and soy. We clean carefully and keep ingredients separate, but because we share equipment and space, we cannot guarantee that any product is free from any allergen or from traces of it.

If you have a severe allergy or coeliac disease

Please contact us before you order so we can talk you through the ingredients and the risks. We may advise against ordering if we can’t safely meet your needs.

Dietary options

Most items can be made with a dietary option for an extra charge per piece. These options change the recipe, not the kitchen:

  • Gluten-free: made with ingredients that don’t contain gluten, but baked in a kitchen that uses wheat flour.
  • Nut-free: made without nuts, but baked in a kitchen that uses nuts. Not available on items made with nuts.
  • Lactose-free: made with lactose-free dairy or dairy alternatives in place of regular dairy.
  • Sugar-free: made without added sugar, using a sugar alternative. Some ingredients, such as fruit, flour and dairy, contain natural sugars.
  • Protein: made with added protein.

Ingredient information

  • Full ingredient and allergen details for any item are available on request. Ask us before you order and we’ll send them to you.
  • Weekly specials can contain different ingredients from our regular menu, so please check with us if you have an allergy.
  • We will include allergen information with your order.

Telling us about allergies

Write any allergy or intolerance in the notes when you order, for yourself or the person you’re gifting. If anything is unclear, we will contact you before baking. If you’re ordering for someone else, please check their allergies with them first.

Points & Offers

Last updated 29 October 2026

How our loyalty points, founding member offer and weekly specials work.

Earning points

  • Points are earned by account holders. Sign in before you order; guest orders don’t earn points.
  • You earn 1 point for every full $10 of your order total, after any discounts and points used.
  • Points are added to your account once your order has been completed.

Using points

  • Each point is worth $1 off a future order.
  • Points are used in blocks of 10 points ($10 off), at checkout, while signed in.
  • Points can’t be exchanged for cash, transferred to another person or combined between accounts.
  • If an order you used points on is cancelled, the points are returned to your account. Points earned on an order that is later refunded are removed.

Your loyalty card

Your loyalty card shows your name and points balance. It’s a convenient way to see your points; your balance in your account is the official record.

Expiry and closing your account

Points don’t currently expire. If we introduce an expiry, we will give you at least 30 days’ notice. Points are cancelled if you close your account, or if we close it because it has been used fraudulently or against our Terms & Conditions.

Founding member offer

  • If you create an account before we launch, your first order includes 10% off the item subtotal, applied automatically at checkout.
  • The offer applies once per person, to the first order on that account. It has no cash value, isn’t transferable and can’t be applied to an order already placed.
  • We may decline the offer on duplicate accounts.

Weekly specials

Each week we offer one limited cookie, one cake and one bread. They are available only during that week, in limited quantities and while they last, and are not repeated.

Changes to the program

We may change or end the points program or any offer. We will give you at least 30 days’ notice of any change that reduces the value of points you have already earned, and if we end the program, you will have at least 30 days to use your points.
